Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and AA Innovation Group LLC ("AA Innovation Group," "we," "us," or "our"), a New York limited liability company and the owner and operator of Sound & Vine — the mobile application (the "App"), the soundvineli.com website and winery portal (the "Site"), and related services (together, the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy and Community Guidelines, which are incorporated by reference. If you do not agree, do not use the Services.

1. Eligibility and responsible use

  • You must be at least 17 years old to use the App and at least 18 to open a winery portal account (and have authority to bind the winery you represent).
  • The Services provide information about wineries and alcohol-related events. You must be of legal drinking age (21 in the United States) to consume alcohol at any listed venue. Please drink responsibly and never use the App while driving.
  • You are responsible for your account credentials and everything done under your account.

2. The App (visitors)

The App is free for personal, non-commercial use. We grant you a limited, revocable, non-exclusive, non-transferable license to use the App on devices you own or control, subject to these Terms and to the rules of the app store from which you downloaded it. On Apple devices, Apple's standard Licensed Application End User License Agreement also applies to your use of the App; Apple is not responsible for the App or its content and has no obligation to furnish support.

3. Your content

"Your Content" means anything you submit through the Services — reviews, ratings, tasting notes, photos, and (for winery members) listing content and event information.

  • Ownership. You retain ownership of Your Content.
  • License to us. You grant AA Innovation Group LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute Your Content as needed to operate, promote, and improve the Services. For public content (reviews, winery listings), this includes display to other users. The license ends when you delete the content or your account, except for content already shared with others or retained in routine backups.
  • Responsibility. You are solely responsible for Your Content and represent that you have all necessary rights to it and that it complies with our Community Guidelines.
  • Moderation. We may remove or refuse any content that violates these Terms or our Guidelines, and may suspend or terminate accounts of repeat violators.

4. Reviews

Reviews must reflect your genuine experience. Fake, incentivized-without-disclosure, or retaliatory reviews are prohibited. Wineries on qualifying membership tiers may post public responses to reviews; responses are subject to the same rules. We do not edit review scores, and wineries cannot pay to remove reviews.

5. Winery membership (portal)

  • Claiming. You may claim a listing only if you are authorized to represent that winery. We may verify claims and may reclaim listings that were claimed in error or misrepresented.
  • Listing accuracy. You are responsible for the accuracy and legality of everything you publish — hours, prices, events, photos, and news.
  • Membership tiers and billing. Paid tiers (currently "Featured Vineyard" and "Estate Partner") are billed monthly or annually in advance through the Site. Fees are non-refundable for partial billing periods except where required by law. You can cancel anytime; paid benefits continue to the end of the current period, and your free listing remains afterward.
  • Changes to tiers. We may adjust tier features or pricing prospectively with at least 30 days' notice to active members.
  • No commissions. We take no commission on your tastings, tickets, or wine sales. Ticket links route to the destination you configure; those transactions are between you and your customers.
  • Placement mechanics. Promotional placements (featured pins, carousel position, Editors' Pick rotation) operate as described on our pricing page and may evolve; rotation among Estate Partners is automated and equitable.

6. Third-party content and venues

Winery information is provided by wineries and public sources and may change without notice — confirm hours and prices before traveling. The community feed displays public Instagram posts controlled by their authors. Links to third-party sites (ticketing, winery websites, Instagram) are provided for convenience; we are not responsible for third-party sites, and your dealings with any winery — visits, purchases, events — are solely between you and that winery.

7. Intellectual property

The Services — including the Sound & Vine name, logo, design, and software — are owned by AA Innovation Group LLC or its licensors and protected by intellectual-property laws. Except for the licenses expressly granted here, no rights are transferred to you. You may not copy, scrape, reverse engineer, or create derivative works of the Services except as permitted by law.

8. Copyright complaints (DMCA)

If you believe content on the Services infringes your copyright, send a notice to hello@soundvineli.com with: (a) identification of the work and the infringing material, (b) your contact information, (c) a statement of good-faith belief that the use is unauthorized, (d) a statement, under penalty of perjury, that the notice is accurate and you are the owner or authorized to act for the owner, and (e) your physical or electronic signature. We will remove or disable access to infringing material and may terminate repeat infringers.

9. Termination

You may stop using the Services or delete your account at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or if we discontinue the Services. Sections that by their nature should survive (Sections 3, 6–12) survive termination.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT INFORMATION (INCLUDING HOURS, PRICES, AND EVENT DETAILS) IS ACCURATE OR CURRENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AA INNOVATION GROUP LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless AA Innovation Group LLC from claims arising out of Your Content, your use of the Services, or your violation of these Terms — including, for winery members, claims arising from your listings, events, or premises.

13. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Suffolk County, New York, and you consent to their jurisdiction. Either party may seek injunctive relief for intellectual-property violations in any court of competent jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date, and where appropriate we will notify you in the App or by email. Continued use after changes take effect constitutes acceptance.
